These terms became effective on 1 March 2025 and apply to all users of zemoraventi services

Welcome to zemoraventi. By accessing or using our project budget management platform, you're agreeing to these terms. We've written them as clearly as possible, but some legal language is unavoidable.

1. Acceptance and Agreement

When you create an account with zemoraventi, you're entering into a binding agreement with us. This isn't just a formality. These terms govern how you can use our platform, what we provide, and what happens if things go wrong.

You must be at least 18 years old to use our services. If you're signing up on behalf of a company or organization, you're confirming that you have the authority to bind that entity to these terms.

We update these terms occasionally. When we do, we'll notify you through your registered email address or through a notice on our platform. Continuing to use our services after changes means you accept the updated terms.

2. Account Registration and Security

Creating an account requires accurate information. This seems obvious, but we need to emphasize it because your account details help us provide support and ensure security across our platform.

Your Responsibilities

  • Keep your login credentials private and secure
  • Notify us immediately if you suspect unauthorized access
  • Maintain current and accurate contact information
  • Use a strong password that you don't reuse across other services
  • Don't share your account with others or create accounts for anyone else

You're responsible for all activity that happens under your account. If someone gains access to your credentials and causes problems, we'll work with you to resolve it, but you may still be liable for any violations of these terms that occur.

Security matters. We invest heavily in protecting your data, but account security is a shared responsibility. Take it seriously.

3. Service Description and Limitations

zemoraventi provides project budget management tools designed for businesses and individuals tracking financial aspects of their projects. Our platform helps you organize budget data, monitor spending, and generate reports.

What we're not: We're not a financial advisor, accountant, or tax service. The tools we provide are for tracking and organization. Any financial decisions you make based on data in our system are your responsibility.

Our services include access to our web-based platform, mobile applications (where available), customer support, and regular updates. We're constantly improving the platform, which means features may change or be discontinued as we evolve.

Service Availability

We aim for 99.5% uptime, but we can't guarantee uninterrupted access. Maintenance windows, technical issues, and unforeseen circumstances happen. We'll do our best to notify you of planned downtime in advance.

During periods when our service is unavailable, your subscription time may be extended as compensation, depending on the length and cause of the outage.

4. User Conduct and Prohibited Activities

Most of our users are professionals who use our platform responsibly. These rules exist because, unfortunately, we've encountered situations where they were necessary.

You agree not to:

  • Attempt to access other users' accounts or data without authorization
  • Use our platform to store or transmit malicious code
  • Engage in activities that disrupt or interfere with our services
  • Reverse engineer, decompile, or attempt to extract our source code
  • Remove or modify any copyright, trademark, or proprietary notices
  • Use our services for any illegal purpose or in violation of any laws
  • Scrape, harvest, or collect information about other users
  • Resell or redistribute our services without written permission

Violation of these rules may result in immediate suspension or termination of your account. In serious cases, we may report activity to relevant authorities.

5. Payment Terms and Billing

Our pricing is straightforward and published on our website. When you subscribe to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

Subscription Details

Subscriptions renew automatically. We'll send you a reminder before each billing cycle, but it's your responsibility to cancel if you don't want to continue. Cancellations take effect at the end of your current billing period.

If a payment fails, we'll attempt to contact you and may retry the charge. After multiple failed attempts, we may downgrade or suspend your account. You'll still have access to your data, but some features may be restricted.

Refunds

We offer a 14-day refund window from your initial purchase. After that, payments are non-refundable. If you're unhappy with our service, talk to us first. We'd rather find a solution than simply process a refund.

Annual subscriptions follow the same policy. We don't offer partial refunds if you cancel mid-year.

6. Intellectual Property Rights

The zemoraventi platform, including all software, designs, text, graphics, and other content, belongs to us. Using our service doesn't give you ownership of any intellectual property rights.

You retain ownership of any data, content, or information you upload to our platform. By using our service, you grant us permission to store, process, and display that content as necessary to provide our services to you.

We won't use your business data for purposes outside of providing you service unless we get your explicit permission. We may use aggregated, anonymized data for analytics and service improvement.

Your data is yours. We're custodians, not owners. We take that responsibility seriously.

7. Privacy and Data Protection

How we handle your personal information is detailed in our Privacy Policy, which is part of this agreement. We collect and process data in accordance with Australian privacy laws and international standards where applicable.

We use industry-standard encryption for data transmission and storage. Our servers are located in Australia, and we maintain regular backups. However, no system is completely secure, and we can't guarantee absolute protection against all possible security breaches.

You can export your data at any time through our platform. If you close your account, we'll retain your data for 90 days before permanent deletion, in case you change your mind.

8. Termination and Suspension

You can stop using our service anytime. Just cancel your subscription through your account settings. We'd appreciate feedback about why you're leaving, but it's not required.

We can suspend or terminate your account if you violate these terms, engage in fraudulent activity, or if we're required to do so by law. We'll usually warn you first unless the violation is severe or creates immediate risk to our platform or other users.

If we terminate your account, you'll get a reasonable opportunity to export your data. After that period, we'll delete your information according to our data retention policies.

9. Warranties and Disclaimers

We provide our service "as is" and make no guarantees about specific outcomes from using our platform. We work hard to keep everything running smoothly, but we can't promise that our service will always be error-free, secure, or available.

To the maximum extent permitted by Australian law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

This doesn't affect any statutory rights you may have under Australian Consumer Law, which provides certain guarantees that can't be excluded.

10. Limitation of Liability

Our liability to you is limited to the amount you paid us in the 12 months before the issue arose. This applies to any claim, whether based on contract, negligence, or any other legal theory.

We're not liable for indirect damages, including lost profits, lost data, or business interruption. These limitations don't apply where Australian Consumer Law prevents us from limiting liability.

If you use our service in ways we didn't intend or for purposes we explicitly advise against, we're not responsible for the results.

11. Indemnification

You agree to defend and hold us harmless from any claims arising from your use of our service, your violation of these terms, or your violation of any rights of another person or entity.

This means if someone sues us because of something you did while using our platform, you're responsible for the costs and damages. We'll notify you of any such claims and may participate in the defense.

12. Dispute Resolution

These terms are governed by the laws of Victoria, Australia. Any disputes that can't be resolved informally will be handled in the courts of Victoria.

For small claims (under the jurisdictional limit), you can choose to proceed in small claims court instead. We both waive any right to a jury trial.

13. General Provisions

If any provision of these terms is found unenforceable, the rest remains in effect. Our failure to enforce any right or provision doesn't constitute a waiver of that right.

These terms represent the complete agreement between us regarding your use of zemoraventi. They replace any prior agreements or understandings.

We may assign our rights and obligations under these terms to another company. You can't transfer your rights without our written consent.
